The terms and conditions of this document shall constitute the entire Agreement for the purchase and sale of the products to Purchaser. Acceptance made expressly conditional upon Purchaser’s assent to these terms, which may differ from, vary or be in addition to the terms in Purchaser’s purchase order or request for quotation. Any varying, differing, or additional terms and conditions contained in the Purchaser’s purchase order or request for quotation shall not be binding upon ARKPLAS.

1%/10 Net 30 terms may be established by contacting Customer Service at (870) 453-2343 or csr@arkplas.com. Visa, Mastercard, and American Express are also accepted. Delinquent accounts will be placed on hold and may result in loss of credit. On-hold accounts may be subject to shipment and invoicing of all active orders. Delinquent accounts over 30 days are subject to a finance charge of 1.5% of the total order value and delinquent accounts over 60 days are subject to action by a third party.

Shipments will be made F.O.B. Flippin, Arkansas with no transportation allowed. Risk of loss shall transfer to Buyer upon delivery to the freight carrier. Shipping method to be at seller's discretion unless buyer specifies routing. Buyer will bear the cost of insurance and any other unusual transportation requirements. Undeclared residential shipments or liftgate requirements resulting in additional fees will be invoiced separately. ARKPLAS shall not be liable for delays in delivery due to causes beyond our reasonable control.

Unless otherwise noted, quotations will expire after 30 days and are subject to our pricing terms within that period.

ARKPLAS reserves the right to modify pricing at any time unless otherwise prohibited by a mutually agreed upon supplier/vendor contract. Direct cost increases may override such agreements.

All tooling, standard or otherwise is the sole property of ARKPLAS. All tooling associated with standard items will be maintained so long as it is economically feasible. Non-standard tooling will be maintained so long as original EAU/order minimum targets are placed. Non-standard tooling will be discarded after 3 years of non-order.

ARKPLAS will provide notification of change in product revision via email, and can make such product updates at any time. Timely notification by ARKPLAS will be made when possible, but specific variables may result in changes being made effective immediately. Certain product changes not altering the form, fit or function may not result in a new revision or product change notification. Notification will be provided via email to all customers having purchased an affected item in the past 1 year. Economic variables may result in the discontinuation of products at ARKPLAS’ discretion unless specifically precluded by an existing supplier agreement. Discontinuation notices will be submitted to all customers having purchased a discontinued item in the past 1 year.

Orders are not subject to cancellation, change, reduction in amount or suspension of deliveries except with our consent and upon terms which protect us from loss.

The Purchaser shall hold us harmless against any expense or loss resulting from infringement of patents or trademarks arising from compliance with Purchaser’s designs or specifications or instructions.

ARKPLAS will not be liable for any delays or failures to fulfill its obligations due to causes beyond its reasonable control, including without limitation acts or omissions of government or military authority, acts of God, shortages of materials, transportation delays, fires, floods, diseases, labor disturbances, riots, or wars provided that it gives prompt notice to the other of its invocation of this provision and make diligent efforts to resume its performance despite such force majeure.

Inspect all shipments within 15 days of the date of shipment. Failure to advise us of defects on shipments within the 15-day period will constitute acceptance of the shipment. Due to product serialization and lot traceability, only parts determined to be defective are eligible for return/refund.

Returned Material Authorization can be initiated by contacting our Customer Service Department. No material will be accepted for credit without a valid RMA number. All products manufactured by ARKPLAS are non-returnable unless determined to be functionally defective. Customer notifications regarding defective products are considered Support Issues, and may require samples for inspection by ARKPLAS prior to issuing an RMA. Due to our lot-traceability procedure, no returns are accepted for online orders.

All parts are accurately counted on sophisticated electronic scales compensated for slight weight variations due to minor mold cavity differentials. Customer part shipments are subject to a ± 3% order quantity variation. Non-standard items (e.g., custom matched colors, cut length tubing, non-standard materials) are subject to a ± 5% order quantity variation.

Date of Manufacture (DOM) information is included on the Packing Slip and Certificate of Conformance which are included with each shipment. Please note that the DOM reflects the production run start date for the lot number(s) listed on the aforementioned documents.

Products manufactured to ISO 13485 standards are available upon request. The Purchaser must notify ARKPLAS should any purchased products be for use in a medical device and require 13485 ISO certification.

• Blanket orders may be scheduled over a 6-to-12-month period as determined at time of order, and not to exceed 12 months.
• Blanket orders exceeding 6 months require that all releases be predefined at the time of order.
• Blanket order releases may not be modified without written approval from ARKPLAS.
• Blanket orders are bound by standard ARKPLAS terms.
• Standard lead times apply to the first scheduled delivery.
• Each scheduled delivery must constitute at least 5% of the total order.
• Deliveries may not be rescheduled within 4 weeks of scheduled delivery without written approval from ARKPLAS.
• Releases approved for rescheduling will be subject to invoicing on the original release date, and should the modified release date exceed 30 days, 10% of the release value to constitute warehousing fees.
• Orders are not subject to cancellation, change, reduction in amount or suspension of deliveries except with our consent and upon terms which protect us from loss. Cancellation charges may be assessed against all work in progress, development costs, and inventory.
• Failure to accept delivery for all items ordered within the period agreed upon may result in ARKPLAS reestablishing unit prices for each item ordered for the entire order, i.e., for items shipped and for items not yet shipped. This new price will be based upon both the new number of units scheduled for delivery, and the number of units already delivered. If this number falls below the quantity break required to receive the original price quoted, then the price will be adjusted.
